Project
"Project" means the professional engagement between DMC REVAMP CORPORATION and the Client for the performance of one or more agreed-upon Services.

Client responsibilities
Client Information and Documentation
The Client is responsible for providing DMC REVAMP CORPORATION with all information, documentation, data, records, and other materials reasonably necessary for the successful performance of the Engagement.
All information provided by the Client shall be complete, accurate, current, truthful, and submitted in good faith.
The quality, accuracy, completeness, and effectiveness of the Company's Professional Services and Deliverables depend substantially upon the quality and reliability of the information provided by the Client.
Unless expressly agreed otherwise in writing, DMC REVAMP CORPORATION has no obligation to independently verify the authenticity, legality, completeness, or accuracy of information supplied by the Client or any third party.
Accuracy of Information
The Client represents and warrants that all information, documentation, financial data, operational information, and business records provided to DMC REVAMP CORPORATION are accurate, complete, and fairly reflect the Client's business, investment, or particular circumstances.
The Company performs its Professional Services based on information provided by the Client together with information obtained from sources reasonably considered reliable.
DMC REVAMP CORPORATION shall not be responsible for errors, omissions, inaccuracies, delays, or damages resulting from false, incomplete, misleading, outdated, or inaccurate information supplied by the Client or any third party.
Client Cooperation
The Client agrees to cooperate in good faith throughout the Engagement.
Such cooperation includes, without limitation:
- Providing requested information in a timely manner.
- Responding promptly to requests for clarification.
- Reviewing draft Deliverables within the agreed review periods.
- Submitting comments, corrections, and revision requests in a clear, organized, and consolidated manner whenever reasonably possible.
- Participating in scheduled meetings and consultations.
- Designating an authorized point of contact whenever multiple individuals or organizations are involved in the Engagement.
Failure to provide timely cooperation may affect the Project schedule, delivery dates, and the quality of the Professional Services.
Client-Caused Delays
If the Client fails to provide required information, delays responses, fails to review draft Deliverables, or otherwise prevents the orderly progress of the Engagement, DMC REVAMP CORPORATION may temporarily suspend work until the required information or cooperation has been received.
Any delay attributable to the Client shall result in the corresponding adjustment of the Project timeline and shall not constitute a breach of contract by DMC REVAMP CORPORATION.
The Company shall not be liable for delays resulting directly or indirectly from the Client's failure to fulfill its responsibilities under these Terms & Conditions.
Changes to the Scope of Work
The scope of each Engagement shall be defined in the applicable Proposal, Service Agreement, Statement of Work (SOW), Work Order, or other written agreement accepted by the parties.
During the course of an Engagement, the Client may request modifications, expanded services, or additional work not included within the original scope.
When such requests involve services included within DMC REVAMP CORPORATION's portfolio, the Company will evaluate their technical, operational, and commercial feasibility and, if appropriate, provide a separate proposal outlining the revised scope, timeline, fees, and applicable terms.
No additional work shall commence until the Client has accepted the revised proposal and satisfied the applicable payment requirements.
If the requested services fall outside the Company's areas of expertise or service offerings, DMC REVAMP CORPORATION shall have no obligation to perform such work.
In such cases, the Company shall continue providing only those Professional Services expressly included within the original Engagement.
Review of Deliverables
The Client is responsible for carefully reviewing all draft Deliverables, reports, business documentation, financial models, presentations, and other work products submitted during the Engagement.
To facilitate an efficient review process, the Client agrees to submit comments, corrections, and revision requests in a clear, organized, and consolidated manner whenever reasonably possible.
Unless otherwise agreed, the Client's failure to provide comments within the applicable review period may be deemed acceptance of the submitted Deliverables for purposes of continuing the Engagement.
Revision Process
Unless otherwise specified in the applicable Proposal or Service Agreement, each Engagement includes up to five (5) rounds of revisions.
Revisions are intended solely to address reasonable corrections, clarifications, refinements, factual updates, and improvements related to the original scope of work.
Revisions do not include, without limitation:
- Developing an entirely new Project.
- Significant changes to the underlying business model.
- Changes to the visa category or project objective.
- New research not included within the original Engagement.
- Material modifications that substantially expand the original scope of work.
If the Client requests work beyond the included revision process, DMC REVAMP CORPORATION may issue a separate proposal for the additional Professional Services.
Post-Delivery Consulting Support
As part of certain Professional Services offered by DMC REVAMP CORPORATION, Clients may receive a post-delivery consulting period intended to assist with the implementation of the recommendations and strategies contained in the Deliverables.
Unless otherwise stated in the applicable Proposal, such post-delivery support includes:
- Two (2) months of consulting support.
- Up to four (4) consulting sessions.
- Two (2) sessions per month.
- Approximately one (1) session every fifteen (15) days.
- Up to ninety (90) minutes per session.
Sessions may be conducted virtually or through another communication method designated by the Company.
Unused sessions are non-transferable, non-cumulative, and may not be exchanged for other services.
Post-delivery consulting is intended solely to provide guidance regarding implementation of the Company's recommendations and does not include preparation of new documentation, additional research, structural revisions, or Professional Services beyond those originally contracted.
Additional consulting requested after the included support period shall be quoted and billed separately.
Expedited Services
The estimated delivery schedules communicated by DMC REVAMP CORPORATION reflect the Company's standard production timelines.
If the Client requests expedited delivery or priority scheduling, the Company will evaluate resource availability and determine whether such request can reasonably be accommodated.
Approved expedited services may be subject to additional fees, which shall be disclosed to the Client for approval before work begins.
Client Default
If the Client fails to comply with any obligation under these Terms & Conditions, DMC REVAMP CORPORATION may, whenever appropriate:
- Temporarily suspend the Engagement.
- Adjust delivery schedules.
- Request additional information.
- Reschedule consulting sessions.
- Terminate the Engagement when continued performance becomes commercially unreasonable.
The exercise of any of the foregoing rights shall not constitute a breach by DMC REVAMP CORPORATION and shall not entitle the Client to refunds, credits, discounts, or damages.
Responsibility for Implementation
DMC REVAMP CORPORATION provides business consulting, strategic advisory services, and professional documentation intended to support informed decision-making.
The implementation of any recommendation, strategy, business plan, marketing plan, financial model, or other Deliverable remains the sole responsibility of the Client.
Accordingly, DMC REVAMP CORPORATION shall not be responsible for the Client's business decisions, implementation methods, operational execution, financial performance, or any results achieved following delivery of the Professional Services.
Use of Deliverables
All Deliverables prepared by DMC REVAMP CORPORATION shall be used solely for the purposes contemplated under the applicable Engagement and in accordance with these Terms & Conditions, the applicable Service Agreement, and any other governing contractual documents.
Unless expressly authorized in writing by DMC REVAMP CORPORATION, the Client shall not copy, reproduce, modify, commercialize, sublicense, distribute, or otherwise exploit the Company's Deliverables, methodologies, templates, proprietary processes, business models, or other intellectual property for purposes unrelated to the original Engagement.
Notwithstanding the foregoing, when DMC REVAMP CORPORATION maintains formal strategic alliances, White Label arrangements, referral partnerships, subcontracting relationships, or other authorized commercial collaborations with law firms, consulting firms, or strategic business partners, the permitted use, presentation, delivery, or commercialization of Deliverables shall be governed exclusively by the applicable written agreement.
Such authorized collaboration shall not be construed as a transfer of ownership of DMC REVAMP CORPORATION's intellectual property, methodologies, proprietary systems, templates, processes, documentation, or other protected business assets unless expressly stated in a separate written agreement.
The Client shall remain solely responsible for the use of the Deliverables after delivery, including any modification, update, adaptation, or alteration made by third parties without the participation of DMC REVAMP CORPORATION.
Engagement, professional fees and payment terms
General Principles
DMC REVAMP CORPORATION provides professional business consulting, strategic advisory, and specialized business documentation through a transparent, flexible, and client-focused engagement model designed to serve entrepreneurs, investors, business owners, startups, small and medium-sized businesses (SMBs), and organizations throughout the United States, Latin America, and other international markets.
Professional Fees reflect the Company's expertise, industry knowledge, technical judgment, professional experience, project complexity, estimated workload, and the level of specialized resources required to successfully perform each Engagement. Accordingly, fees are determined individually after considering, among other factors, the scope of work, project objectives, anticipated Deliverables, expected timeline, and any other circumstances that may reasonably affect the performance of the Professional Services.
Unless otherwise agreed in writing, every Engagement with DMC REVAMP CORPORATION shall be governed by these Terms & Conditions, the applicable Commercial Proposal, the Service Agreement (when applicable), the Statement of Work (SOW), and the other legal documents comprising the Company's Legal Center.
Engagement Models
To better serve Clients with different business needs and purchasing preferences, DMC REVAMP CORPORATION offers multiple engagement models.
Each engagement model follows its own commercial process and may be subject to specific terms regarding project initiation, payment schedules, Deliverables, timelines, and other applicable commercial conditions.
a Website Purchases
Certain Professional Services may be purchased directly through the official DMC REVAMP CORPORATION website using the Company's online purchasing platform.
Under this engagement model, the Client selects the desired service, adds it to the shopping cart, accepts these Terms & Conditions, and completes the purchase using one of the available payment methods.
Unless otherwise stated, all services purchased through the Company's Website require full payment (100%) at the time of purchase.
Upon confirmation of payment, DMC REVAMP CORPORATION will begin its internal onboarding process in accordance with these Terms & Conditions.
b Direct Client Engagements
Clients may also engage DMC REVAMP CORPORATION directly through any of the Company's authorized communication channels, including email, contact forms, telephone calls, video conferences, social media platforms, messaging applications, business meetings, referrals, or any other communication method approved by the Company.
After evaluating the Client's objectives and consulting needs, DMC REVAMP CORPORATION will prepare a customized Commercial Proposal describing the scope of work, project objectives, Deliverables, estimated timeline, Professional Fees, and applicable payment terms.
Unless otherwise agreed in writing, Direct Client Engagements shall follow the following payment schedule:
- Fifty percent (50%) of the total Professional Fees as an initial payment to commence the Engagement.
- Fifty percent (50%) of the remaining balance prior to delivery of the final Project Deliverables.
c Strategic Alliance Engagements
DMC REVAMP CORPORATION may provide Professional Services through strategic alliances with law firms, consulting firms, accounting firms, business advisors, strategic partners, or other commercial organizations.
These engagements may operate under various collaboration models, including White Label arrangements, Strategic Alliances, Referral Programs, subcontracting agreements, or other commercial structures developed by the Company.
Unless otherwise established in a separate written agreement, Strategic Alliance Engagements shall generally follow the following payment schedule:
- Fifty percent (50%) as an initial payment.
- Fifty percent (50%) prior to delivery of the final Project Deliverables.
Commercial terms applicable to Strategic Alliance Partners may also be governed by separate agreements, including the Company's Alliance Partner Program Agreement, White Label Agreement, Referral Agreement, or any other written commercial agreement executed between the parties.
Formation of the Agreement
A contractual relationship between DMC REVAMP CORPORATION and the Client shall be deemed established upon the occurrence of any of the following events, as applicable:
- Completion of a purchase through the Company's Website together with successful payment confirmation.
- Written acceptance of a Commercial Proposal issued by DMC REVAMP CORPORATION.
- Execution of a Service Agreement, Statement of Work (SOW), or any other written agreement.
- Payment of the required initial deposit.
- Written authorization by email or other electronic communication instructing DMC REVAMP CORPORATION to commence the Engagement.
- Any other clear and affirmative action demonstrating the Client's intention to engage the Company's Professional Services.
Once an Engagement has been established, both parties shall be bound by these Terms & Conditions, the applicable Commercial Proposal, any executed Service Agreement, Statement of Work (SOW), and the other governing legal documents published by DMC REVAMP CORPORATION.
Commercial Proposals and Quotations
All quotations, estimates, Commercial Proposals, budgets, pricing schedules, or similar documents issued by DMC REVAMP CORPORATION are provided for informational and negotiation purposes only until expressly accepted by the Client.
Commercial Proposals may include, among other items:
- Description of the Engagement.
- Scope of Professional Services.
- Project objectives.
- Deliverables.
- Estimated project timeline.
- Professional Fees.
- Payment schedule.
- Estimated completion dates.
- Proposal validity period.
- Special commercial conditions.
Unless otherwise stated, Commercial Proposals shall remain valid for thirty (30) calendar days from the date of issuance.
Upon expiration of the proposal validity period, DMC REVAMP CORPORATION reserves the right to revise pricing, scope of work, timelines, Deliverables, or any other commercial terms.
Professional Fees
Professional Fees compensate DMC REVAMP CORPORATION exclusively for the performance of business consulting, strategic advisory, and specialized business documentation services.
Each Engagement is developed on a customized basis and requires different levels of research, analysis, planning, coordination, and professional expertise. Accordingly, Professional Fees may vary depending upon the nature of the Engagement, its complexity, estimated duration, level of specialization required, number of Deliverables, resources involved, and any other factors relevant to the successful completion of the Project.
Unless expressly stated otherwise, Professional Fees do not include additional consulting services requested after the Engagement begins, changes to the agreed scope of work, third-party expenses, translation services, certifications, legal fees, accounting fees, government filing fees, applicable taxes, banking charges, or any other expense not specifically identified in the applicable Commercial Proposal.
Professional Fees compensate DMC REVAMP CORPORATION for its expertise, technical judgment, specialized knowledge, and professional work. Payment of such fees does not constitute, and shall not be interpreted as, a guarantee of commercial success, financing, investment, visa approval, immigration benefits, business profitability, or any other specific outcome.
Payment Terms
Payment terms shall depend upon the engagement model selected by the Client and the commercial conditions applicable to each Project.
Unless otherwise agreed in writing, DMC REVAMP CORPORATION shall apply the following standard payment terms.
a Website Purchases
Professional Services purchased directly through the Company's Website must be paid in full (100%) at the time the order is placed using one of the payment methods authorized by DMC REVAMP CORPORATION.
Confirmation of payment authorizes the Company to begin its internal order verification and onboarding procedures in accordance with these Terms & Conditions.
b Direct Client Engagements
Professional Services contracted directly with DMC REVAMP CORPORATION through a Commercial Proposal, consultation, referral, or any authorized communication channel shall generally be subject to the following payment schedule:
- Fifty percent (50%) of the total Professional Fees as an initial payment prior to commencement of the Engagement.
- Fifty percent (50%) of the remaining balance prior to delivery of the final Project Deliverables.
c Strategic Alliance Engagements
Professional Services performed through law firms, consulting firms, strategic partners, or other commercial alliances shall generally follow the following payment structure unless otherwise established in a separate written agreement:
- Fifty percent (50%) as an initial payment.
- Fifty percent (50%) prior to delivery of the final Project Deliverables.
DMC REVAMP CORPORATION reserves the right to establish alternative payment structures through separate commercial agreements with Strategic Alliance Partners whenever appropriate.
Order Confirmation and Project Commencement
When a Client purchases Professional Services through the Company's Website, DMC REVAMP CORPORATION will send an electronic confirmation acknowledging receipt of the order and payment.
An Order Confirmation serves solely as confirmation that the purchase request has been received and does not, by itself, constitute the commencement of the Engagement.
The Engagement shall begin only after DMC REVAMP CORPORATION confirms that all conditions necessary to perform the Professional Services have been satisfied, including, among others:
- Verification and confirmation of the applicable payment.
- Acceptance of these Terms & Conditions.
- Assignment of the Engagement to the appropriate consulting team.
- Receipt of all information and documentation reasonably required to begin the Engagement.
- Scheduling of any required kickoff meetings or preliminary consultations.
For Direct Client Engagements and Strategic Alliance Engagements, work shall commence only after receipt of the required initial payment and all information reasonably necessary to perform the Professional Services.
Any estimated completion dates or project timelines shall begin on the date DMC REVAMP CORPORATION formally confirms the commencement of the Engagement.
Payment Methods
To facilitate international business transactions, DMC REVAMP CORPORATION may accept a variety of domestic and international payment methods.
Among others, the Company may accept:
- Credit Cards.
- Debit Cards.
- Stripe.
- PayPal.
- Domestic Bank Transfers.
- International Wire Transfers.
- ACH Transfers.
- SWIFT Transfers.
- Wise or other international payment platforms.
- Personal Checks, when previously approved by the Company.
- Cashier's Checks.
- Electronic payment platforms authorized by DMC REVAMP CORPORATION.
- Any additional payment method the Company may implement in the future.
The availability of specific payment methods may vary depending upon the Client's location, the nature of the Engagement, banking regulations, or the Company's internal policies.
Currency and Foreign Exchange
Unless otherwise expressly stated, all Professional Fees, prices, quotations, and commercial terms published by DMC REVAMP CORPORATION are stated in United States Dollars (USD).
The Company may, at its sole discretion, accept payments made in other currencies whenever commercially and operationally feasible.
When payment is made in a currency other than USD, the applicable exchange rate shall be the rate used by the financial institution, payment processor, or payment platform processing the transaction.
The Client shall be responsible for any exchange rate differences, currency conversion costs, foreign transaction fees, or similar charges associated with the payment unless otherwise agreed in writing.
Banking Fees and International Transfers
When payment is made through domestic or international wire transfers, ACH transfers, SWIFT transfers, or similar banking methods, the Client shall be solely responsible for all banking charges, intermediary bank fees, transfer costs, currency conversion fees, and any other charges imposed by financial institutions or payment service providers.
The Client shall ensure that DMC REVAMP CORPORATION receives the full invoiced amount without deductions resulting from banking or payment processing fees.
If the amount received by the Company is less than the invoiced amount due to such deductions, the Client shall remain responsible for paying the outstanding balance before the applicable Deliverables are released.
Applicable Taxes
Unless expressly stated otherwise, Professional Fees do not include applicable sales taxes, use taxes, value-added taxes (VAT), goods and services taxes (GST), withholding taxes, governmental charges, or any other taxes that may apply under applicable law.
Whenever DMC REVAMP CORPORATION is legally required to collect or remit applicable taxes, such amounts shall be separately calculated, invoiced, and paid by the Client unless otherwise required by law.
The Client shall remain responsible for any taxes, duties, or governmental charges arising from the purchase of the Professional Services, except for taxes imposed directly on the Company's income.
Invoicing
DMC REVAMP CORPORATION shall issue invoices, receipts, or equivalent billing documents in accordance with applicable law and the commercial terms agreed upon by the parties.
The Client shall provide all information reasonably necessary for accurate invoicing, including billing information, tax identification numbers when applicable, and any additional information required under applicable law.
Billing information shall correspond to the individual or entity engaging the Professional Services unless otherwise agreed in writing by the parties.
The issuance of an invoice or billing document shall not modify the payment terms, scope of work, or any other contractual provision previously agreed upon between the parties.
Whenever permitted by applicable law, invoices and related billing documents may be issued electronically.
Promotional Offers and Discounts
From time to time, DMC REVAMP CORPORATION may offer promotional pricing, discounts, bundled services, referral incentives, seasonal campaigns, or other commercial promotions.
Unless expressly stated otherwise, promotional offers:
- Are available only during the applicable promotional period.
- May not be combined with other offers or discounts.
- Have no cash value.
- May not be transferred to another Client or Project.
- May be modified or withdrawn by the Company at any time before acceptance.
Acceptance of a promotional offer shall not alter any provision of these Terms & Conditions unless expressly stated in writing.
Late Payments
The Client agrees to make all payments on or before the applicable due date.
If any payment is not received when due, DMC REVAMP CORPORATION may, without limiting any other available rights or remedies:
- Suspend performance of the Professional Services.
- Delay the delivery of Deliverables.
- Suspend scheduled meetings or consulting sessions.
- Decline to begin new phases of the Engagement.
- Exercise any other contractual or legal remedy available under applicable law.
Unless otherwise provided in a separate written agreement, the Company shall not be obligated to continue performing Professional Services while any undisputed payment remains outstanding.
Suspension for Non-Payment
DMC REVAMP CORPORATION reserves the right to suspend any Engagement whenever the Client fails to comply with the agreed payment obligations.
During any period of suspension:
- Project timelines may be extended accordingly.
- Scheduled Deliverables may be postponed.
- The consulting team may be reassigned to other projects.
- The Company shall not be responsible for delays resulting directly or indirectly from the suspension.
Professional Services may resume once all outstanding payment obligations have been satisfied and operational scheduling permits.
Additional Services
Any request made after the original scope of the Engagement has been accepted---including revisions beyond those included in the applicable service, additional consulting, expanded Deliverables, new analyses, supplemental research, new business documentation, or any other work not originally contemplated---shall be considered an Additional Service.
Additional Services may require:
- A separate Commercial Proposal.
- Additional Professional Fees.
- A revised project schedule.

Unless otherwise agreed in writing, DMC REVAMP CORPORATION shall have no obligation to perform Additional Services until the corresponding commercial terms have been accepted by the Client.

Depending on the nature of the Engagement, Professional Services may include business consulting, strategic planning, market research, competitive analysis, financial modeling, operational planning, marketing strategy development, business documentation, corporate reporting, immigration support documentation, and other consulting services within the Company's areas of expertise.
Professional Services are delivered using secure digital communication and collaboration tools, allowing DMC REVAMP CORPORATION to efficiently serve Clients regardless of their geographic location.
Unless otherwise agreed in writing, all Professional Services are performed and delivered electronically.

Rather than producing standardized documents, DMC REVAMP CORPORATION develops customized business solutions through a disciplined consulting process tailored to each Client's specific objectives.

Customized Development of Each Engagement
DMC REVAMP CORPORATION recognizes that every Client, business, startup, investment project, and organization has unique characteristics, objectives, challenges, and operational requirements. Accordingly, every Engagement is developed individually and specifically for the Client.
The Company does not sell generic reports, standardized templates, pre-packaged documents, or "one-size-fits-all" business solutions. Although DMC REVAMP CORPORATION utilizes proprietary methodologies, internal processes, consulting frameworks, and professional tools developed through its experience, every Deliverable is independently prepared based on the Client's information, the agreed scope of services, the objectives of the Engagement, and the Company's professional analysis.
Depending on the Engagement, Deliverables may include customized strategies, business recommendations, financial projections, market research, industry analysis, competitive assessments, business models, charts, graphs, financial tables, diagrams, illustrations, photographs, operational recommendations, and other materials specifically developed to support the Client's business objectives.
This customized consulting approach ensures that every Deliverable serves not merely as a business document, but as a practical decision-making tool intended to assist business planning, investment evaluation, strategic development, financing opportunities, corporate presentations, operational improvement, and long-term business growth.
Development of Professional Business Documentation

When an Engagement involves documentation intended to support United States immigration matters, DMC REVAMP CORPORATION prepares the requested business documentation based on the immigration category identified by the Client or the Client's licensed legal advisors, the business objectives of the Engagement, the information provided by the Client, and generally accepted professional practices associated with the preparation of business documentation for similar matters.
The preparation of such documentation constitutes solely a Business Consulting and Professional Documentation Service.
DMC REVAMP CORPORATION does not provide legal advice, immigration legal services, legal representation, or representation before U.S. Citizenship and Immigration Services (USCIS), the U.S. Department of State (DOS), U.S. embassies, U.S. consulates, or any governmental authority. Likewise, the Company does not guarantee visa approvals, immigration benefits, governmental authorizations, or any particular outcome.
All Deliverables are prepared electronically through a collaborative consulting process. During the Engagement, DMC REVAMP CORPORATION may provide preliminary drafts, working versions, or partial Deliverables to facilitate Client review, validate information, obtain feedback, and ensure that the final Deliverables accurately reflect the agreed business objectives.
Digital Deliverables

Depending on the nature of the Engagement, Deliverables may be provided in one or more of the following formats:

- Microsoft PowerPoint presentations or presentations developed using other professional presentation or design platforms selected by DMC REVAMP CORPORATION
- Digital forms
- Compressed electronic files
- Organized digital folders
- Other electronic formats appropriate for the Engagement

Unless otherwise expressly agreed in writing, delivery of editable files does not transfer ownership of the Company's proprietary methodologies, consulting frameworks, document structures, analytical models, templates, workflows, or any other Intellectual Property owned by DMC REVAMP CORPORATION.
Internal Quality Assurance
Maintaining high professional standards is a fundamental principle of DMC REVAMP CORPORATION. Before final delivery, each Engagement may undergo one or more internal quality assurance reviews intended to verify that the Deliverables accurately reflect the agreed scope of services and comply with the Company's professional standards.
Depending on the nature of the Engagement, internal quality review may include, among other matters:
- Review of overall document consistency
- Verification of organization and structure
- Validation of Client-provided information
- Review of financial calculations and projections, when applicable
- Editorial, grammar, spelling, and formatting review
- Professional design and presentation review
- Verification of charts, tables, diagrams, graphics, and illustrations

Client Review Process
DMC REVAMP CORPORATION considers each Engagement to be a collaborative process between the Company and the Client.
Accordingly, during the course of an Engagement, the Company may provide preliminary drafts, work-in-progress versions, or partial Deliverables so that the Client may review the content, verify factual information, provide comments, and request reasonable revisions within the original Scope of Work.
Unless otherwise specified in the applicable Proposal, Statement of Work (SOW), or Service Agreement, each Engagement includes up to five (5) rounds of revisions, which must be requested during the development phase and prior to final approval of the Deliverables.
The purpose of the revision process includes:

- Operational Documentation
- Corporate Reports
- Other professional supporting documentation
Each Engagement is developed exclusively for the individual Client, taking into consideration the nature of the business, the objectives of the project, the applicable immigration category, the information provided by the Client, and generally accepted professional practices associated with the preparation of business documentation for similar matters.
When appropriate, Deliverables may be organized to address business elements commonly associated with the applicable immigration category, including business operations, organizational structure, market analysis, financial planning, business strategy, and other components relevant to the purpose of the Engagement.
Preparation of this documentation constitutes solely a Business Consulting and Professional Business Documentation Service.
Accordingly:
- DMC REVAMP CORPORATION is not a law firm.
- The Company does not provide legal advice or immigration legal services.
- The Company does not represent Clients before U.S. Citizenship and Immigration Services (USCIS), the U.S. Department of State (DOS), U.S. embassies, U.S. consulates, or any governmental authority.
- The Company does not prepare or file immigration petitions or government forms.
- The Company's services do not replace the legal services provided by licensed immigration attorneys.
- The Company does not guarantee visa approvals, immigration benefits, governmental authorizations, or any specific immigration outcome.
Delivery of Deliverables
Upon completion of the Engagement and the applicable review process, DMC REVAMP CORPORATION will deliver the final Deliverables through secure electronic means.
Delivery may be made through one or more of the following methods:

- Private download links
- Secure client portals
- Shared digital folders
- Other electronic delivery methods authorized by the Company
Delivery shall be deemed complete when the Deliverables have been transmitted to the Client's designated contact information or otherwise made available through any authorized electronic delivery method.
The Client is responsible for downloading, reviewing, and maintaining copies of all Deliverables after delivery.

Final Project Approval

The Client is responsible for carefully reviewing the Deliverables and communicating any comments relating to the agreed Scope of Work within the period established by the parties or, if no period has been specified, within a reasonable time following delivery.
If the Client expressly approves the Deliverables or fails to communicate any observations regarding the agreed Scope of Work within a reasonable period, the Engagement shall be considered accepted and approved for purposes of final delivery.

Any modification requested after final approval may be treated as an Additional Service and may require a separate commercial proposal.
Project Presentation
As part of its commitment to quality and Client understanding, DMC REVAMP CORPORATION may conduct a virtual presentation following completion of the Engagement to explain the Deliverables and their principal components.
Depending on the Engagement, the presentation may include discussion of:
- The overall structure of the Deliverables
- Key business analyses
- Strategic recommendations
- Financial projections, when applicable
- Business assumptions
- Implementation considerations
- Other relevant project components
For business documentation prepared to support United States immigration matters, the presentation is intended solely to explain the content of the Deliverables and facilitate the Client's understanding of the completed work.
The presentation forms part of the Company's Business Consulting Services only.
It does not constitute legal advice, immigration legal services, preparation for immigration interviews, representation before governmental authorities, or legal interpretation of immigration laws.
Post-Delivery Strategic Consulting
Certain Professional Services offered by DMC REVAMP CORPORATION include post-delivery consulting designed to assist Clients during the implementation of the recommendations contained in the completed Engagement.
Availability of this benefit depends exclusively upon the Service purchased and the terms specified in the applicable Proposal or Service Agreement.
Unless otherwise stated in writing, post-delivery consulting may be included with selected Business Plans, Marketing Plans, and other strategic consulting engagements.
Unless otherwise agreed, post-delivery consulting may include:
- Up to two (2) months of consulting support
- Up to four (4) virtual meetings
- A maximum of two (2) meetings per month
- Up to ninety (90) minutes per meeting
The purpose of this service is to provide strategic guidance regarding implementation of the completed Engagement, answer reasonable questions relating to the Deliverables, and assist the Client within the original Scope of Work.
Post-delivery consulting does not include:
- Preparation of new Deliverables
- Additional market research
- New financial projections
- Changes to the business model
- Expansion of the original Scope of Work
- Development of new business strategies resulting from subsequent business changes
- Legal, accounting, tax, or immigration consulting services
Should the Client require additional consulting beyond the services originally included, DMC REVAMP CORPORATION may submit a separate proposal for additional Professional Services.
Record Retention
To facilitate future inquiries and maintain appropriate business records, DMC REVAMP CORPORATION may retain electronic copies of completed Engagements for up to twelve (12) months following final delivery.
After this period, the Company may archive, delete, or otherwise dispose of project files in accordance with its internal document retention policies, unless a longer retention period is required by applicable law or agreed upon in writing.
Clients are solely responsible for maintaining copies of all Deliverables provided by the Company.
DMC REVAMP CORPORATION does not guarantee permanent storage or future availability of project files after the applicable retention period has expired.
Completion of the Engagement
An Engagement shall be considered completed upon the occurrence of any of the following events:
- Delivery of the final Deliverables to the Client.
- The Client's express acceptance of the completed Engagement.
- Completion of the revision process included within the purchased Services.
- Full performance of the contractual obligations of both parties.
- Completion of any post-delivery consulting services included in the Engagement.
- Mutual written agreement terminating the Engagement.

Accordingly, the Client agrees to cooperate with DMC REVAMP CORPORATION throughout every phase of the Engagement by providing all information, documentation, approvals, feedback, authorizations, and other materials reasonably necessary for the proper performance of the Professional Services.
The Client's failure to cooperate, provide requested information, or respond within a reasonable time may affect project schedules, delay Deliverables, limit the Company's ability to perform the Engagement efficiently, and prevent completion within the originally estimated timeline. Such circumstances shall not constitute a breach of these Terms & Conditions or of any Service Agreement by DMC REVAMP CORPORATION.
Accurate, Complete, and Current Information
The Client is solely responsible for providing information that is accurate, complete, truthful, current, and sufficient for the performance of the Professional Services.
All information, documents, financial records, operational data, business information, market research, strategic objectives, and other materials supplied by the Client shall accurately reflect the Client's business and the purpose of the Engagement.
The Client represents and warrants that all information submitted to DMC REVAMP CORPORATION has been lawfully obtained and may be used in connection with the contracted Professional Services.
The Client further agrees to promptly notify DMC REVAMP CORPORATION of any material changes occurring during the Engagement, including changes to the business model, ownership structure, financial information, strategic objectives, operations, investment structure, or any other matter that may affect the Deliverables.
DMC REVAMP CORPORATION shall not be responsible for any errors, omissions, inaccuracies, delays, or other consequences resulting from false, incomplete, inaccurate, misleading, or outdated information provided by the Client or by third parties acting on the Client's behalf.
Timely Delivery of Information and Documentation
The Client agrees to provide all requested information, supporting documentation, completed questionnaires, approvals, responses, and other materials necessary for the Engagement within the timeframes reasonably requested by DMC REVAMP CORPORATION.
Project schedules are based upon the timely receipt of the information required to perform the Professional Services.
If the Client fails to provide the requested information within the applicable timeframe, DMC REVAMP CORPORATION may, without liability:
- Reschedule the Engagement timeline.
- Temporarily suspend project activities until the required information is received.
- Revise estimated completion dates.
- Reallocate consulting resources to other active engagements until work on the Project resumes.
Any delay resulting from the Client's failure to provide timely information shall automatically extend the estimated project schedule and shall not constitute a default, breach of contract, or service deficiency by DMC REVAMP CORPORATION.
Client Cooperation During the Engagement
The Client agrees to maintain timely, professional, and constructive communication with DMC REVAMP CORPORATION throughout the Engagement.
When applicable, the Client agrees to:
- Participate in scheduled meetings and consultations.
- Respond to reasonable requests for information in a timely manner.
- Review draft Deliverables, preliminary reports, and work-in-progress documents.
- Provide timely feedback and revision requests.
- Designate a primary point of contact whenever multiple individuals participate in the Engagement.
- Communicate any significant business developments that may affect the Project.
To promote efficient project management, DMC REVAMP CORPORATION may request that the Client consolidate comments, revision requests, and feedback into a single communication whenever reasonably practicable.
Extended periods of inactivity, delayed responses, or failure to communicate may result in temporary suspension of the Engagement and corresponding adjustments to the project schedule.
Review and Approval of Deliverables
The Client is responsible for carefully reviewing all Deliverables prepared by DMC REVAMP CORPORATION before providing Final Project Approval.
During the review process, the Client should verify, among other things:
- The accuracy of the information provided.
- The proper incorporation of Client-supplied information.
- The accuracy of names, dates, financial figures, and other factual information.
- Consistency between the Deliverables and the agreed Scope of Work.
- Any corrections or reasonable revisions requested within the revision process included in the Engagement.
The Client's written approval of the Deliverables, or the failure to submit comments within a reasonable period after delivery of the final version, shall constitute sufficient evidence of acceptance of the Deliverables prepared by DMC REVAMP CORPORATION.
Once Final Project Approval has been granted, any subsequent revisions, modifications, updates, or requests beyond the original Scope of Work may be treated as Additional Professional Services and may require a separate Commercial Proposal, revised project timeline, and additional Professional Fees.
Deliverables ownership and intellectual property
General Principles
DMC REVAMP CORPORATION develops customized Professional Services and Deliverables tailored to each Client's specific business objectives, requirements, and Scope of Work.
Upon full payment of all Professional Fees and satisfaction of the Client's contractual obligations, the Client may use the Deliverables prepared specifically for its Engagement in accordance with these Terms & Conditions.
Notwithstanding the foregoing, DMC REVAMP CORPORATION retains all Intellectual Property rights in its methodologies, processes, consulting frameworks, proprietary tools, business systems, and other intellectual assets used in providing its Professional Services.
Client Rights to the Deliverables
Upon full payment of the applicable Professional Fees, the Client may use the Deliverables developed specifically for its business, organization, or project.
Among other permitted uses, the Client may:
- Present the Deliverables to investors, lenders, financial institutions, business partners, or prospective business partners.
- Use the Deliverables for business planning, operational, strategic, or commercial purposes.
- Submit the Deliverables to USCIS, U.S. embassies, U.S. consulates, or other governmental authorities, when appropriate.
- Share the Deliverables with attorneys, accountants, consultants, financial advisors, or other professional advisors.
- Update, revise, or supplement the Deliverables as the Client's business or project evolves.

Intellectual Property of DMC REVAMP CORPORATION
DMC REVAMP CORPORATION retains all Intellectual Property rights relating to its consulting methodologies, business processes, proprietary tools, analytical models, internal templates, consulting frameworks, research, website content, trademarks, trade names, logos, visual identity, software, automation systems, artificial intelligence technologies, databases, and any other proprietary assets used or developed in connection with its Professional Services.
The purchase of Professional Services does not constitute an assignment, license, transfer, or conveyance of any Intellectual Property rights unless expressly agreed in writing by the parties.
Business Methodologies and Technology
In performing its Professional Services, DMC REVAMP CORPORATION may utilize proprietary methodologies, digital platforms, automation technologies, artificial intelligence, software applications, internal processes, and other professional resources it considers appropriate for each Engagement.
The Client acknowledges that these methodologies, technologies, processes, and resources constitute part of the Company's proprietary know-how, professional expertise, and Intellectual Property and are not assigned, licensed, or otherwise transferred as part of the contracted Professional Services.
Client Information
All information, documents, data, trademarks, business records, and other materials provided by the Client shall remain the exclusive property of the Client.
DMC REVAMP CORPORATION will use such information solely for the purpose of performing the contracted Professional Services, in accordance with these Terms & Conditions, the Company's Privacy Policy, and applicable law.
Success Stories and Testimonials
DMC REVAMP CORPORATION may use the Client's name, trademarks, logo, testimonials, project references, or other identifying information for marketing or promotional purposes only with the Client's prior written authorization, unless such information is already publicly available or its use is otherwise permitted by applicable law.
Protection of Intellectual Property
Nothing contained in these Terms & Conditions shall be interpreted as an assignment, license, transfer, or waiver of any Intellectual Property rights belonging to DMC REVAMP CORPORATION, including its methodologies, consulting frameworks, proprietary processes, business systems, research, software, templates, internal resources, or other proprietary assets.
DMC REVAMP CORPORATION expressly reserves all rights and remedies available under applicable law to protect its Intellectual Property against any unauthorized use, reproduction, distribution, modification, disclosure, or other infringement.
Survival
The Intellectual Property rights of DMC REVAMP CORPORATION shall survive completion of the Engagement and termination of the business relationship between the Parties to the fullest extent permitted by applicable law.
Termination of the Engagement shall not affect the Company's ownership of its Intellectual Property or limit its right to enforce and protect such rights through any legal or equitable remedies available under applicable law.
Confidentiality and information protection

Confidential Information
For purposes of these Terms & Conditions, Confidential Information means any non-public information disclosed by either Party, regardless of the form or medium in which it is communicated, including, without limitation:
- Financial information.
- Business Plans.
- Marketing Plans.
- Business strategies.
- Operational information.
- Market research.
- Financial models.
- Technical information.
- Databases.
- Internal documentation.
- Proprietary methodologies and business processes.
- Commercial proposals.
- Technology-related information.
- Any other information identified as confidential or that reasonably should be understood to be confidential based on its nature or the circumstances of its disclosure.
Permitted Use of Confidential Information
Confidential Information shall be used solely for purposes related to the applicable Engagement and the performance of the Professional Services.
Neither Party shall disclose, reproduce, distribute, or otherwise use Confidential Information for any purpose other than those expressly permitted under these Terms & Conditions, except:

Information Security
DMC REVAMP CORPORATION implements reasonable administrative, technical, and organizational safeguards designed to protect the Confidential Information received during each Engagement.
The Client likewise agrees to implement reasonable measures to safeguard the Confidential Information of DMC REVAMP CORPORATION to which the Client may have access during the business relationship.
However, both Parties acknowledge that no electronic transmission, storage system, or digital platform can guarantee absolute security.
Exclusions
The confidentiality obligations set forth in these Terms & Conditions shall not apply to information that:
- Becomes publicly available through no wrongful act or omission of the receiving Party.
- Was lawfully obtained from a third party without any duty of confidentiality.
- Must be disclosed pursuant to applicable law, court order, or other lawful governmental process.
- Was already lawfully known by the receiving Party before its disclosure.
- Is independently developed by the receiving Party without reference to or use of the disclosed Confidential Information.
Mutual Protection of Confidential Information
The Client agrees to protect the Confidential Information of DMC REVAMP CORPORATION, including its methodologies, consulting frameworks, proprietary processes, commercial proposals, business strategies, research, professional documentation, technology, and other non-public information disclosed during the business relationship.
Likewise, DMC REVAMP CORPORATION will protect the Client's Confidential Information using the same degree of reasonable care it applies to safeguarding its own Confidential Information.
Survival
The confidentiality obligations set forth in these Terms & Conditions shall remain in effect throughout the Engagement and shall survive its completion or termination for as long as the Confidential Information retains its confidential nature or as otherwise required by applicable law.
Termination of the Engagement or the business relationship between the Parties shall not relieve either Party of its continuing confidentiality obligations under this Chapter.
Limitation of liability and disclaimer of warranties
Nature of the Professional Services
DMC REVAMP CORPORATION provides Business Consulting, Strategic Advisory, and Professional Business Documentation services.
Our Professional Services are intended to provide business analysis, strategic recommendations, and professionally prepared documentation to assist Clients in planning, structuring, evaluating, and making informed business decisions.
The Company does not manage the Client's business, make decisions on the Client's behalf, or provide legal, accounting, tax, financial, investment, or other regulated professional services unless expressly provided under a separate written agreement.
No Guarantee of Results
DMC REVAMP CORPORATION performs its Professional Services using commercially reasonable professional standards, sound business methodologies, and generally accepted consulting practices. However, because business outcomes depend on numerous factors beyond the Company's reasonable control, the Company does not guarantee any specific results.
Accordingly, DMC REVAMP CORPORATION does not guarantee, among other things:
- Business success or profitability.
- Revenue growth or improved financial performance.
- Investment opportunities, funding, or strategic partnerships.
- Loan, financing, or credit approvals.
- Customer acquisition, commercial contracts, or business opportunities.
- Achievement of financial projections.
- Business expansion or the attainment of strategic objectives.
The analyses, recommendations, and Deliverables prepared by DMC REVAMP CORPORATION are intended solely to support the Client's decision-making process. The implementation of such recommendations and all resulting business decisions remain the sole responsibility of the Client.
Immigration-Related Documentation
When DMC REVAMP CORPORATION prepares Business Plans, market research, financial analyses, or other business documentation intended to support United States immigration matters, such services constitute Business Consulting and Professional Business Documentation services only.
The Company does not provide legal advice, immigration legal services, legal representation, or representation before USCIS, the U.S. Department of State, U.S. embassies, U.S. consulates, or any other governmental authority. The Company does not prepare or file immigration petitions or applications on behalf of Clients.
Approval or denial of any visa, immigration petition, application, or immigration benefit is determined exclusively by the appropriate governmental authorities based on the facts and circumstances of each individual case.
Accordingly, DMC REVAMP CORPORATION does not guarantee the approval of any visa, immigration petition, immigration benefit, governmental authorization, or other governmental determination.
Client Information
DMC REVAMP CORPORATION prepares its analyses, recommendations, financial projections, and Deliverables based on information provided by the Client.
Unless expressly included within the Scope of Work, the Company has no obligation to audit, verify, investigate, validate, or certify the accuracy, completeness, authenticity, legality, or reliability of information supplied by the Client.
The Client remains solely responsible for any consequences arising from false, inaccurate, incomplete, outdated, misleading, or unlawfully obtained information provided to the Company.
Client Decisions
The Client retains exclusive responsibility for all business, financial, operational, commercial, strategic, investment, legal, tax, and other decisions made before, during, or after the Professional Services are provided.
Accordingly, DMC REVAMP CORPORATION shall not be liable for any decision, action, omission, or consequence resulting from the Client's implementation of the Company's recommendations, analyses, or Deliverables.
Limitation of Liability
To the fullest extent permitted by applicable law, DMC REVAMP CORPORATION shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including, without limitation, loss of profits, loss of revenue, loss of business opportunities, business interruption, loss of data, or any other economic or commercial losses arising out of or relating to the Professional Services or Deliverables.
To the fullest extent permitted by applicable law, the total cumulative liability of DMC REVAMP CORPORATION arising out of or relating to any Engagement, regardless of the legal theory asserted, shall not exceed the total amount actually paid by the Client for the specific Professional Services giving rise to the claim.
Force Majeure
DMC REVAMP CORPORATION shall not be liable for any delay, failure, or inability to perform its obligations resulting from events beyond its reasonable control, including, without limitation, natural disasters, fires, floods, hurricanes, governmental actions, public health emergencies, labor disputes, cyberattacks, telecommunications failures, utility interruptions, acts of war, civil unrest, or any other Force Majeure event.
Any obligation affected by a Force Majeure event shall be suspended for the period reasonably necessary to overcome the event preventing performance.
Survival
The limitations of liability and disclaimers contained in this Chapter shall survive completion of the Engagement and termination of the business relationship between the Parties to the fullest extent permitted by applicable law.

Suspension, cancellation, and termination of services

Either Party may suspend, cancel, or terminate the business relationship in accordance with these Terms & Conditions, the applicable Service Agreement, the Commercial Proposal accepted by the Client, and applicable law.
Suspension, cancellation, or termination of an Engagement shall not affect any rights or obligations that, by their nature or by express provision, are intended to survive the termination of the business relationship.
Suspension of Services
DMC REVAMP CORPORATION may temporarily suspend the performance of the Professional Services under circumstances including, without limitation:
- The Client fails to satisfy its payment obligations.
- The Client fails to provide the information or documentation necessary to continue the Engagement.
- The Client requests a temporary suspension of the Professional Services.
- A Force Majeure event occurs.
- Suspension is reasonably necessary to protect the legitimate interests of the Company or the Client.
- Operational, legal, regulatory, or compliance reasons make it impracticable to continue the Engagement.
A temporary suspension shall not automatically terminate the Engagement. When appropriate, the Parties may agree upon a revised project schedule for the resumption of the Professional Services.
Cancellation by the Client
The Client may request cancellation of an Engagement before its completion by providing written notice to DMC REVAMP CORPORATION.
Any cancellation shall be governed by the Company's Refund, Cancellation & Revision Policy, together with the applicable provisions of the Service Agreement or the accepted Commercial Proposal, when applicable.
The Client shall remain responsible for payment of all Professional Services performed, consulting time provided, and any Professional Fees or other amounts accrued through the effective date of cancellation.
Termination for Material Breach
DMC REVAMP CORPORATION may terminate an Engagement if the Client commits a material breach of its contractual obligations, including, without limitation:
- Failure to make required payments.
- Providing false, incomplete, misleading, or unlawful information.
- Misuse of the Professional Services or Deliverables.
- Failure to comply with these Terms & Conditions.
- Any conduct that materially interferes with, impairs, or renders impracticable the proper performance of the Engagement or the business relationship.
Whenever reasonably practicable, the Company will endeavor to provide the Client with notice of the breach and a reasonable opportunity to cure before terminating the Engagement.
Effect of Termination
Upon termination of an Engagement:
- Any remaining unperformed obligations shall terminate, except those that, by their nature or express provision, are intended to survive.
- The Client shall retain the right to use any Deliverables that have been completed and fully paid for in accordance with these Terms & Conditions.
- The provisions relating to confidentiality, Intellectual Property, limitation of liability, unpaid fees, dispute resolution, and any other provisions intended to survive shall remain in full force and effect.
Record Retention
DMC REVAMP CORPORATION may retain records and documentation relating to an Engagement for as long as reasonably necessary to comply with applicable legal, tax, accounting, administrative, regulatory, or internal business requirements.
The Client is solely responsible for maintaining copies of all Deliverables provided by DMC REVAMP CORPORATION.
The Company may retain internal copies of Project documentation for legal, administrative, backup, compliance, or internal recordkeeping purposes. However, the Company shall have no obligation to permanently archive Project files or reproduce Deliverables after completion of the Engagement.
Additional Services
Upon completion of an Engagement or expiration of any post-delivery consulting period included within the contracted Professional Services, any update, revision, expansion, additional request, or new service requested by the Client shall constitute a new Professional Service.
Accordingly, such services may require a separate Commercial Proposal, a revised project schedule, and additional Professional Fees.
Survival
Suspension, cancellation, or termination of an Engagement shall not affect any rights or obligations that, by their nature or by the express provisions of these Terms & Conditions, are intended to survive the termination of the business relationship between the Parties.
General provisions
Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of laws principles, except to the extent that mandatory provisions of applicable law require otherwise.
Dispute Resolution
The Parties agree to make a good-faith effort to resolve any dispute, controversy, or claim arising out of or relating to the interpretation, performance, enforcement, or termination of these Terms & Conditions through direct negotiation.
If the Parties are unable to reach an amicable resolution, the dispute shall be resolved in accordance with applicable law before the court or other dispute resolution forum having jurisdiction, as provided in the applicable Service Agreement or, if none applies, under governing law.
Amendments to the Terms & Conditions
DMC REVAMP CORPORATION reserves the right to update, modify, or replace these Terms & Conditions as necessary to reflect changes in applicable laws, regulations, business operations, corporate policies, or internal practices.
Updated versions will be published on the Company's Website and will indicate their Effective Date.
Unless otherwise required by applicable law or expressly agreed in writing by the Parties, such amendments shall not affect the rights and obligations arising under previously accepted agreements, Commercial Proposals, or Engagements.
Entire Agreement
These Terms & Conditions, together with the applicable Service Agreement, the Commercial Proposal accepted by the Client, the Statement of Work (SOW), when applicable, and any other applicable corporate policies of DMC REVAMP CORPORATION, constitute the entire agreement between the Parties with respect to the Professional Services.
In the event of any conflict or inconsistency among these documents, the document specifically governing the applicable Professional Services shall control unless expressly stated otherwise.
Severability
If any provision of these Terms & Conditions is determined by a court or other competent authority to be invalid, illegal, or unenforceable, the remaining provisions shall remain valid, enforceable, and in full force and effect.
No Waiver
No failure, partial exercise, delay, or omission by DMC REVAMP CORPORATION in enforcing any provision of these Terms & Conditions or exercising any right or remedy shall constitute a waiver of such provision, right, or remedy, nor shall it prevent the subsequent enforcement of any provision or the exercise of any right or remedy.
Assignment
The Client may not assign, transfer, or delegate any rights or obligations arising under these Terms & Conditions without the prior written consent of DMC REVAMP CORPORATION.
The Company may assign or transfer its rights or obligations in connection with a corporate reorganization, merger, acquisition, sale of assets, business succession, or other similar corporate transaction, provided that such assignment does not materially and adversely affect the Client's rights.

Communications submitted through such official channels shall constitute the primary means of communication between the Parties regarding the Professional Services, unless the Parties expressly agree in writing to use another method of communication.
